AGREEMENT TO OUR LEGAL TERMS

We are Smarter Haven ("Company," "we," "us," "our").

We operate the website http://www.smarterhaven.com, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Smarter Haven is an online store offering curated home, tech, and lifestyle products, including home decor, organization solutions, gaming accessories, lighting, wearable electronics, and smart home devices, shipped to customers across the United States.

You confirm that you have read and agree with our "Prohibited Activities" section, and will not send any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, or misleading. The Services may contain links to other websites ("Third-Party Websites") that are not owned or controlled by us, including but not limited to Stripe, PayPal, and social media platforms. We are not responsible for the content, privacy policies, or practices of any Third-Party Websites. Linking to any Third-Party Websites does not imply an endorsement by us. We strongly advise you to read the terms and privacy policy of any Third-Party Website that you visit.

6. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) restrict or disable access to any content that violates these terms; and (4) otherwise manage the Services to protect our rights and property and facilitate their proper functioning.

7. TERM AND TERMINATION

These Legal Terms remain in full force while you use the Services. We reserve the right to deny access to and use of the Services, without notice or liability, to any person for any reason, including breach of these Legal Terms. If we terminate your account, you are prohibited from creating a new account under your name or a fake or borrowed name

8. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time. We cannot guarantee the Services will be available at all times and will not be liable for any loss or inconvenience caused by downtime or interruptions.

9. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of the United States and the State of California. Smarter Haven and yourself irrevocably consent that the courts of Tulare County, California shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

10. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute related to these Legal Terms, the parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If the parties are unable to resolve the dispute through informal negotiation, the dispute shall be finally resolved by binding arbitration conducted in Tulare County, California, United States. If arbitration fees are deemed excessive, we agree to pay the portion of fees necessary to prevent the arbitration from being cost-prohibitive.

Restrictions

The parties agree that any arbitration shall be limited to the dispute between the parties individually. No arbitration shall be joined with any other proceeding, and there is no right to arbitrate any dispute on a class-action basis.

Exceptions

The following disputes are not subject to informal negotiations or arbitration: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. Should court proceedings be necessary, they will take place in Tulare County, California.

Limitation Period

Any cause of action or claim you may have arising out of or relating to these Legal Terms must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

11. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors and to change or update information on the Services at any time, without prior notice.

12. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES. WE DO NOT WARRANT OR GUARANTEE THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, AND WE WILL ASSUME NO LIABILITY FOR ERRORS, INTERRUPTIONS, OR ANY LOSS OR DAMAGE ARISING FROM YOUR USE OF THE SERVICES. AS WITH THE PURCHASE OF ANY PRODUCT THROUGH ANY MEDIUM, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

13. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US, IF ANY, OR ONE HUNDRED U.S. DOLLARS ($100 USD). CERTAIN US STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from any loss, damage, liability, or claim, including reasonable attorneys' fees, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any violation of a third party's rights; or (4) any harmful act toward another user of the Services.

We will maintain certain data that you transmit to the Services for the purpose of managing its performance. Although we perform regular backups of data, you are solely responsible for all data that you transmit, and you agree that we have no liability for any loss or corruption of such data.

16. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing. If any provision of these Legal Terms is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
